Privacy Policy

This Privacy Policy (“Policy”) describes how ProspireUp, a platform operated by Prakesh Private Limited (“ProspireUp”, “we”, “us” or “our”), having its registered office at H No 420, Galo No 3, Bhrampuri, Fafrana Road, Modinagar, Ghaziabad, Uttar Pradesh, India, collects, uses, stores, discloses and protects personal information of individuals who access or use our website and platform (the “Platform”).
1. Introduction and Scope
1.1 This Policy applies to all visitors, registered users and account holders of the Platform, including Students/Candidates who purchase or access Products, book Mock Interviews, or engage Freelancers, and Teachers, Freelancers, Mock Interviewers and Recruiters who provide or receive services through the Platform (collectively, “Users”, “you” or “your”).
1.2 By accessing or using the Platform, registering an account, or otherwise providing your personal information to us, you agree to the collection, use, storage and disclosure of your information as described in this Policy. If you do not agree with this Policy, please do not use the Platform.
1.3 This Policy should be read together with our Terms and Conditions, the applicable Teacher Services Agreement, Freelancer Service Agreement, Mock Interviewer Services Agreement, Recruiter Services Agreement, and any other Platform policies referenced therein, each of which forms part of the contractual relationship between you and ProspireUp.
1.4 This Policy is published in accordance with, and is intended to comply with, applicable Indian law, including the Information Technology Act, 2000, the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011 (“SPDI Rules”), the Digital Personal Data Protection Act, 2023 (“DPDP Act”) and rules made thereunder, and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, each as amended from time to time.
2. Definitions
“Personal Information” / “Personal Data” means any data about an individual who is identifiable by or in relation to such data, including “personal information” and “sensitive personal data or information” as defined under applicable Indian law.
“Sensitive Personal Data” includes, without limitation, financial information (such as bank account, payment instrument or PAN details), biometric information, passwords, and any other category so classified under the SPDI Rules or the DPDP Act.
“Product”, “Project”, “Mock Interview” and other capitalised terms not defined in this Policy shall have the meaning given to them in the applicable services agreement between you and ProspireUp.
“Processing” means any operation performed on Personal Information, including collection, recording, storage, use, disclosure, and destruction.
3. Categories of Users and Information We Collect
We collect different categories of information depending on how you interact with the Platform:
3.1 Information You Provide Directly
- Identity and contact information: full name, address, email address, phone number, date of birth, and photograph.
- Account and KYC information: PAN, GSTIN, government-issued identification, bank account and UPI/payment details, and other documents submitted for onboarding, verification or Know Your Customer (“KYC”) checks.
- Professional information (Teachers, Freelancers, Mock Interviewers, Recruiters): qualifications, experience, employment/organisation details, designation, professional registrations or memberships (including with bodies such as ICAI), areas of expertise, LinkedIn profile, supporting documents, and company/firm details.
- Content and listings: course, class or Product content, descriptions, pricing, syllabus, and related materials uploaded by Teachers; Project postings by Recruiters.
- Communications: messages exchanged through the Platform’s messaging system, support tickets, grievance submissions, and correspondence with ProspireUp.
- Feedback and ratings: Candidate feedback on Mock Interviews, reviews, ratings, and reliability scores.
3.2 Information Collected Automatically
- Device and usage information: IP address, browser type, device identifiers, operating system, pages visited, referral source, and log data.
- Cookies and similar technologies, as described in Clause 9 below.
- Location information: where a Freelancer is required to attend a physical site for a Project, a geo-tagged photograph evidencing attendance may be captured and retained as proof of performance.
3.3 Information Collected for Specific Services
- Booking, scheduling and Interview Records: booking information, Interview ID, Candidate ID, Interviewer ID, scheduling and meeting information, interview status, payment status, and feedback relating to Mock Interviews.
- Session recordings: where a Mock Interview session is recorded with the Candidate’s consent for verification of a genuine dispute (e.g., an allegation that an interview was not conducted), such recording is retained for a limited period as specified in the applicable services agreement (ordinarily up to 2 days) and used solely for that purpose.
- Payment and transaction records: Product Value, Project Value, Interview Fee, Platform Fee, TDS/GST deductions, payout and settlement details, processed through our designated payment gateway/aggregator.
3.4 Information from Third Parties
- Information received from our payment gateway/aggregator (currently Razorpay) or such other payment aggregator as we may designate, to the extent necessary to process and reconcile payments.
- Information received from scheduling providers (such as Calendly or another designated scheduling system) used for booking, rescheduling and cancellation of Mock Interviews.
4. Purpose and Legal Basis for Processing
We collect and Process Personal Information for the following purposes, on the basis of your consent, the performance of a contract with you, and/or our legitimate interest in operating and improving the Platform, or to comply with a legal obligation:
- To create and administer your account and verify your identity (KYC/onboarding).
- To enable discovery, listing, booking, purchase, delivery and completion of Products, Projects and Mock Interviews.
- To process payments, compute and deduct the Platform Fee, applicable taxes (including TDS/GST), and to disburse payouts/settlements.
- To match Candidates with Teachers, Freelancers, Mock Interviewers or Recruiters, as applicable.
- To provide customer support, respond to queries, and resolve disputes and grievances in accordance with the applicable Grievance and Dispute Resolution Policy.
- To send booking confirmations, reminders, transactional notifications, and (where you have not opted out) service updates and promotional communications.
- To monitor, investigate and act upon suspected fraud, misrepresentation, policy violations, No-Shows, or misuse of the Platform.
- To maintain reliability scores, ratings and account-standing indicators.
- To comply with applicable law, regulatory requests, and lawful process, including under the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021.
- To improve, secure, and analyse the performance of the Platform.
5. Sharing and Disclosure of Information
5.1 We do not sell your Personal Information. We may share your information in the following circumstances:
- With other Users as necessary to facilitate a transaction — for example, sharing a Candidate’s booking and contact details with the relevant Mock Interviewer, or a Recruiter’s Project details with applying Freelancers.
- With payment gateways/aggregators (currently Razorpay) and banking partners, solely to process payments, settlements and applicable tax deductions.
- With scheduling and communication service providers engaged to operate booking, notification and messaging functionality.
- With professional advisors, auditors, and service providers who process information on our behalf under confidentiality obligations.
- With regulators, law enforcement, courts or other authorities where required by applicable law, regulation, legal process, or to protect the rights, property or safety of ProspireUp, our Users, or the public.
- In connection with a merger, acquisition, restructuring, or sale of assets, subject to the acquiring entity agreeing to honour the terms of this Policy.
- With your consent, or at your direction.
5.2 Users engaging with each other through the Platform (including Teachers, Freelancers, Mock Interviewers, Recruiters and Candidates) are independently bound by the confidentiality and non-disclosure obligations set out in their respective services agreements with ProspireUp, and must not use information obtained through the Platform for any purpose other than performing the relevant Product, Project or Mock Interview.
6. Data Retention
6.1 We retain Personal Information for as long as necessary to fulfil the purposes described in this Policy, to comply with our legal, accounting, tax or reporting obligations, to resolve disputes, and to enforce our agreements.
6.2 Without limiting the foregoing:
- KYC, tax and payment records are retained for the period required under applicable tax, accounting and anti-money-laundering laws.
- Confidential Information exchanged between the Parties under the applicable services agreement is subject to confidentiality obligations surviving for up to 2 (two) years from termination of the relevant agreement.
- Mock Interview session recordings made with Candidate consent are retained only for the limited verification period specified in the applicable services agreement (ordinarily up to 2 days) unless required for longer to resolve an active dispute or grievance.
- Grievance, dispute and arbitration records are retained for such period as may be necessary to comply with limitation periods under applicable law.
6.3 Upon expiry of the applicable retention period, we will delete, anonymise, or securely destroy the Personal Information, except where retention is required by law.
6.4 Retention After Account Closure
6.4.1 Closure or deletion of your account does not automatically result in deletion of all Personal Information associated with that account. This includes, without limitation, KYC and identity documents, PAN, GSTIN, bank/UPI and other payment or account details, professional and verification records, transaction and communication history, and any other information forming part of your account. We may continue to retain such information, even after account closure, for so long as reasonably necessary to:
- comply with statutory retention periods under applicable tax, accounting, anti-money-laundering, companies, foreign exchange, consumer protection or other laws (which may extend to several years after the last transaction);
- respond to an audit, inspection, summons or inquiry by a tax authority, regulator, financial intermediary, or law enforcement agency;
- establish, exercise or defend actual or reasonably anticipated legal claims or proceedings, including arbitration, litigation, grievance or dispute-resolution proceedings under the applicable services agreement;
- investigate suspected fraud, misrepresentation, identity theft, breach of the applicable services agreement, or misuse of the Platform; and
- any other reasonable business purpose recognised under applicable law, such as recordkeeping necessary to protect the rights, property or safety of ProspireUp, our Users, or third parties.
The circumstances above are illustrative and not exhaustive — the underlying principle is that any part of your account information may be retained for as long as there exists a lawful, regulatory, audit, or dispute-related reason to do so, even if that reason arises or continues after your account is closed.
6.4.2 Where such a lawful, audit, regulatory or dispute-related requirement exists (a “Legal Hold”), the relevant information will be retained, in whole or in part, for so long as the Legal Hold subsists, notwithstanding any earlier account closure, deletion request, or the general retention periods indicated in Clause 6.2. Information subject to a Legal Hold will be used solely for the purpose of that hold and will not be used for unrelated purposes such as marketing.
6.4.3 Once the applicable statutory period has lapsed and no Legal Hold subsists, we will delete, anonymise, or securely destroy the relevant information in the ordinary course.
7. Data Security
7.1 We implement reasonable security practices and procedures, including administrative, technical and physical safeguards, that are commensurate with the sensitivity of the information we process, in line with the SPDI Rules and the DPDP Act.
7.2 Payment information is processed through PCI-DSS compliant payment gateways/aggregators; we do not store full payment card details on our own servers.
7.3 While we take reasonable steps to protect your information, no method of transmission over the internet or electronic storage is completely secure, and we cannot guarantee absolute security.
7.4 Users are responsible for maintaining the confidentiality of their account credentials and for all activity occurring under their account.
8. Your Rights and Choices
8.1 Subject to applicable law, you may have the right to:
- Access, review and request a copy of the Personal Information we hold about you.
- Request correction or updating of inaccurate, incomplete or outdated information.
- Request erasure of your Personal Information, subject to our legal, contractual and record-keeping obligations, including any Legal Hold described in Clause 6.4 (for example, we may be unable to erase certain account, KYC, tax, payment or other records while a statutory retention period, audit, dispute or legal proceeding is ongoing, even after your account is closed).
- Withdraw consent to Processing where consent is the basis of Processing, without affecting the lawfulness of Processing prior to such withdrawal.
- Nominate another individual to exercise your rights under the DPDP Act in the event of your death or incapacity, where applicable.
- Register a grievance with us, and thereafter with the Data Protection Board of India (once constituted) or other competent authority, if you are dissatisfied with our response.
8.2 You may exercise these rights by writing to our Grievance Officer at the contact details set out in Clause 12 below. We will respond within the time period prescribed under applicable law.
8.3 You may opt out of promotional communications at any time using the unsubscribe mechanism provided in such communications, or by contacting us directly. You may continue to receive transactional and service-related communications necessary for the operation of your account.
9. Cookies and Tracking Technologies
9.1 The Platform uses cookies, web beacons, and similar tracking technologies to operate the website, remember your preferences, authenticate sessions, analyse usage patterns, and improve our services.
9.2 You may configure your browser to refuse some or all cookies; however, certain features of the Platform may not function properly without cookies.
10. Third-Party Links and Services
The Platform may contain links to, or integrate with, third-party websites, payment gateways (such as Razorpay) and scheduling tools (such as Calendly). This Policy does not apply to such third-party services, and we encourage you to review their respective privacy policies before providing any information to them.
11. Children’s Privacy
The Platform is intended for use by individuals who are competent to contract under applicable law. We do not knowingly collect Personal Information from children. If we become aware that we have inadvertently collected Personal Information from a child without appropriate consent, we will take steps to delete such information.

Any complaint, grievance or query relating to the Processing of your Personal Information, or any complaint under this Policy, may be addressed to the Grievance Officer, who shall acknowledge receipt within the timelines prescribed under applicable law and endeavour to redress the grievance in accordance with our Grievance and Dispute Resolution Policy.
13. Cross-Border Transfer of Information
Your Personal Information may be stored and processed on servers located within or outside India, including where our service providers (such as cloud hosting, payment or scheduling providers) operate infrastructure outside India. Where such transfer occurs, we will take reasonable steps to ensure that the recipient provides an adequate level of protection consistent with this Policy and applicable law.
14. Changes to this Policy
We may update this Policy from time to time to reflect changes in our practices, technology, legal or regulatory requirements. Material changes will be notified to Users through the Platform or via registered email at least 15 (fifteen) days prior to taking effect, consistent with the notice periods applicable under our services agreements. The “Last Updated” date at the top of this Policy indicates when it was last revised. Continued use of the Platform after such changes take effect constitutes acceptance of the revised Policy.
15. Governing Law and Jurisdiction
This Policy shall be governed by and construed in accordance with the laws of India. Subject to the multi-tier grievance and dispute resolution process and arbitration mechanism set out in the applicable services agreement, the courts at Ghaziabad, Uttar Pradesh, India shall have exclusive jurisdiction over any disputes arising out of or in connection with this Policy.
